Terms of Service

1. Agreement to Terms

By accessing or using Novu ("the Service") operated by Novu, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Accounts

When you create an account you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activities that occur under your account. You must notify us immediately at supportnovu@gmail.com if you suspect any unauthorized use.

You must be at least 13 years old to use the Service. By using the Service you represent that you meet this requirement.

3. Subscriptions and Billing

Certain features of the Service require a paid subscription ("Pro Plan"). Subscriptions are billed monthly or annually in advance.

All payments are processed by Stripe. By subscribing you authorize us to charge your payment method on a recurring basis.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not provide refunds for partial periods.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

4. Your Content

You retain ownership of all content you create within the Service (tasks, journal entries, nutrition logs, financial data, etc.). You grant us a limited license to store and process your content solely to provide the Service to you.

You are responsible for ensuring that your content does not violate any laws or infringe on third-party rights.

We do not use your content to train AI models without your explicit consent.

5. AI Coach Disclaimer

The AI Coach feature is provided for informational and motivational purposes only. It is not a substitute for:

  • Professional medical, mental health, or psychiatric advice
  • Licensed financial planning or investment advice
  • Professional nutritional or dietetic guidance

Always consult a qualified professional before making decisions affecting your health or finances. We are not liable for actions taken based on AI Coach outputs.

6. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Transmit viruses, malware, or any other malicious code
  • Scrape, crawl, or systematically extract data from the Service
  • Impersonate any person or entity, or misrepresent your affiliation
  • Use the Service in a way that could damage, disable, or impair it

7. Intellectual Property

The Service, including its design, code, trademarks, and content created by us, is owned by Novu, Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Termination

We may suspend or terminate your account at any time for violations of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVU, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice for material changes via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
